ARTICLE I - NAME AND PURPOSE
ARTICLE I - NAME AND PURPOSE
Section 1 - This organization shall be known as The Ohio Fire and Emergency Services Foundation, herein called the Foundation. The Foundation is the educational and charitable arm of the Ohio Fire Chiefs’ Association.
Section 2 - The purpose of this Foundation is to promote professional development and provide education and training for fire suppression, fire prevention, emergency management, and other areas of public safety for Ohio’s fire, emergency medical service, and emergency response officers and members. Through education and training of the officers and members of fire and emergency response organizations, the goal to minimize Ohio’s loss of life and property from fire and other natural and man-made disasters and medical emergencies can be realized. The Foundation has been established under Section 501 (C) (3) of the Internal Revenue Service and pursuant to the Constitution and laws of Ohio, including Chapter 1702 of the Ohio Revised Code.
ARTICLE II - MEMBERSHIP

Section 1 - The membership of the Foundation shall consist of the following: All Members of the Ohio Fire Chiefs' Association Incorporated as defined in their Constitution, shall automatically hold membership in the Ohio Fire & Emergency Services Foundation.
ARTICLE III - BOARD OF TRUSTEES
ARTICLE III - BOARD OF TRUSTEES
Section 1 - There shall be a Board of Trustees to conduct the business of the Foundation. The Board of Trustees shall consist of the President, President-Elect, and the Sergeant-at-Arms of the Ohio Fire Chiefs’ Association. One Trustee shall be elected by each of the six Association Districts as their representative to the Foundation Board of Trustees. The chair of the Foundation will be appointed by the Board of Directors of the Ohio Fire Chiefs’ Association for two-year terms. The term may be renewed by the Board of Directors of the Ohio Fire Chiefs’ Association.
Section 2 - With the exception of filling vacancies, District Trustees shall serve staggered three-year terms. District Trustees shall not be current members of the Board of Directors of the Association.

Section 1 - Chair - The Chair or designee shall preside at all meetings of the Foundation, preserve order and decorum, decide questions of order, appoint committees, and the Chair shall be an ex-officio member of all committees.
All meetings shall be conducted in an orderly manner. Whenever a question of procedure arises, “Robert’s Rules of Order, Newly Revised” shall be used as a guide.
Section 2 - Vice-Chair - The Vice-Chair shall be elected annually by the Board of Trustees and assist the Chair in every possible way. In the absence of the Chair, the Vice-chair shall perform all the duties of that office.
Section 3 - Secretary-Treasurer - A Secretary-Treasurer shall be appointed by the Board of Trustees. The Secretary-Treasurer may or may not be a member of the Foundation and shall serve at the pleasure of the Board of Trustees. The Secretary-Treasurer shall be appointed by and may be removed by a majority vote of the Board of Trustees.
The Secretary-Treasurer shall collect all monies due the Foundation and shall have custody of the funds of the Foundation. All monies belonging to the Foundation shall be deposited in the name of the Ohio Fire and Emergency Services Foundation, in a solvent bank subject to the approval of the Board of Trustees. The Secretary-Treasurer shall keep a true and correct record of all monies received and disbursed, and shall, at each annual conference, present a written detailed report of all monies received and paid out during the preceding year. The Secretary-Treasurer shall execute a surety bond determined by the Board of Trustees. The expense of the said bond shall be borne by the Foundation.
Except for the necessary expenses of this office, the Secretary-Treasurer shall incur no expenses in the name of the Foundation without the authority of the Board of Trustees. The Secretary-Treasurer shall not honor any expense incurred by an officer, member, or member of any committee, except by authority of the Board of Trustees.
The Secretary-Treasurer shall perform such duties as directed by the Chair or Board of Trustees. When necessary, travel and hotel expenses shall be paid by the Foundation.
It shall further be the duty of the Secretary-Treasurer to keep a complete record of the proceedings of the Foundation and the Board of Trustees, and to have available said record not later than thirty (30) days after each meeting.
Section 4 – Committees
Section 1 - The Education Committee shall consist of such members as the Board deems necessary. The committee shall keep itself informed of changes in education and training requirements of the fire service and inform the Association of such changes.
The Ohio Fire Executive Oversight Committee shall consist of such members as the Board deems necessary. The Oversight Committee shall oversee the Ohio Fire Executive Program and be responsible for curriculum development and evaluation and selection of OFE students. Recommended changes shall be reported to the Board of Trustees for approval.
The Scholarship Committee shall consist of such members as the Board deems necessary. The committee shall be responsible for evaluating applicants that apply for scholarships and distributing scholarships in a fair and equitable manner. Scholarships shall be awarded based on the guidelines within each scholarship fund.
Section 2 - Temporary or Special Committees may be appointed by the Chair as the need arises.
Section 3 - All committees shall report to the Board of Trustees annually.

Section 1 - Said District Trustees shall serve so that one-third of those elected shall be elected each year at the Annual Conference, and that one-third of the District Trustees’ terms of office shall expire each year in the same order as the Association’s. Two members shall be elected to the Board of Trustees each year for a term of three (3) years from each Association District. One Director shall be elected from each of the Following Districts: Northeast, Southeast; North Central, South Central; Northwest, Southwest.
Section 2 - The position of Vice-Chair of the Board of Trustees of the Foundation shall be elected by the Board of Trustees at the first meeting of the Board of Trustees following the Annual Conference.

Section 1 - The Board of Trustees shall meet not less than four (4) times each year. Meetings of the Board of Trustees shall be called by the Chair, who shall designate the date and place of such meetings.
Section 2 - A simple majority of the Board of Trustees shall constitute a quorum for the transaction of business at any meeting of the Board of Trustees.

Section 1 - The same voting process is in place as is in the Association. All amendments of the By-Laws shall become effective immediately following their adoption unless otherwise provided.
Section 2 - Any proposed changes to the By-Laws of the Foundation shall be prepared by a Committee appointed by the Chair with such proposals approved by the Board of Trustees.
Fellows
The Ohio Fire & Emergency Services Foundation is pleased to announce the creation of a new (by invitation only) Fellows Program.
The invitation to become a Fellow will be extended to those who have achieved the highest standards in the fire service. They are honest, trustworthy, dedicated, inspirational, loyal, brave, respected, knowledgeable, friendly, courteous, thrifty, reverent, ethical, moral, distinguished, skillful, still learning and reliable. They are held in the highest esteem by their colleagues.
A Fellows Pledge will allow the Foundation to continue to do important work such as the OFE Program.
Charter Fellows were recognized at the 2010 annual conference and new Fellows will be honored annually thereafter.
